State Filing Fees & Service Cost
State filing fees are set by the Secretary of State and vary by state — not an Uptech Consulting charge. Your consultant confirms the current state fee and scopes our service cost together before anything is filed.

Staying Compliant After Formation
Ongoing obligations vary by state — some require annual filings, others operate on a different cycle. Your consultant will map out your exact compliance calendar once your state and entity type are confirmed.
Annual Report
Wyoming requires this every year on your LLC's formation-anniversary month ($60 minimum). Texas requires a Public Information Report alongside its franchise tax (see next). Delaware has no separate annual report for LLCs.
Franchise Tax
Delaware: a flat $400/year, due June 1. Texas: due May 15, though no tax is owed below its no-tax-due revenue threshold — the report is still required either way. Wyoming has no franchise tax.
Registered Agent Renewal
An annual subscription with your registered agent provider, regardless of state — lapsing it risks losing good standing and, eventually, administrative dissolution.

Common questions on US formation
Generally, no — non-US residents can typically form and own a US LLC or C-Corp without a US visa, Social Security Number, or physical US address as a founder, though a registered agent with a physical in-state address is required for the entity itself. Confirm current requirements for your specific situation with your Uptech Consulting consultant.
It depends on your goals. Delaware is the standard choice if you're raising outside investment — its courts and corporate law are what most US investors expect. Wyoming tends to suit founders prioritizing low ongoing cost and privacy (no franchise tax, member names aren't public). Texas has no personal state income tax but more ongoing reporting. Your consultant will help you weigh these against your specific situation.
